These DigiSHOP Buyer & Seller Terms (“Marketplace Terms”) govern buying and selling through DigiRAMP Shops (“DigiSHOP”), operated by DigiRAMP, LLC (“DigiRAMP,” “we,” “us,” or “our”). They supplement and are incorporated into the DigiRAMP Terms of Service, Privacy Policy, and Refund & Returns Policy. By listing or buying a product on DigiSHOP, you agree to these Marketplace Terms.
1.1 Intermediary Only. DigiRAMP provides the technology platform and facilitates payment between independent Buyers and Sellers. DigiRAMP is not the seller, manufacturer, importer, or shipper of listed products and does not take title to them. The contract of sale is directly between Buyer and Seller.
1.2 No Endorsement. Listings are created by Sellers. DigiRAMP does not guarantee any product’s quality, safety, legality, or fitness, and does not endorse any listing.
2.1 Eligibility & Accounts. To sell, you must have a DigiRAMP account in good standing, be at least 18, and complete any payment-processor onboarding and identity verification (KYC) required to receive payouts.
2.2 Your Listings. You are solely responsible for your listings, including product descriptions, images, pricing, availability, shipping options, taxes you are required to collect, and the accuracy and legality of everything you post. You represent that you have all rights necessary to sell each item.
2.3 Fulfillment & Delivery. You are solely responsible for fulfilling orders promptly, packaging, shipping (including generating labels through the platform’s integrated provider where applicable), and providing after-sales support. Payment for an order may be held until delivery is confirmed and the return window closes.
2.4 Returns & Refunds. You agree to honor the Refund & Returns Policy. Where a return is due to seller fault (wrong, damaged, or not-as-described item), you pay return shipping. Where a return is for a permitted buyer reason, the buyer pays return shipping. Refunds are issued after you receive the returned item.
2.5 International Sales. If you enable international shipping, orders ship Delivered At Place (DAP) / Duty Unpaid - the buyer is responsible for import duties, VAT, and customs fees. You understand that buyers may refuse customs/import charges and that related fees may be deducted from your future payouts or seller balance. Blocked countries (sanctioned states, high-fraud regions) are automatically excluded.
2.6 Prohibited Items. You may not list or sell: illegal, counterfeit, stolen, or recalled goods; items that infringe intellectual property, publicity, or privacy rights; weapons, explosives, or controlled substances; hazardous materials; adult content involving minors; or anything prohibited by law, our Terms, or our payment processor. DigiRAMP may remove any listing and suspend any account that violates this section.
2.7 Liability Between Us. You are responsible for, and agree to indemnify DigiRAMP against, any claim arising from your products, listings, fulfillment, or conduct, as provided in the Terms of Service.
3.1 Buying From Independent Sellers. Products are listed and fulfilled by independent Sellers. DigiRAMP securely processes your payment and facilitates the transaction, but the Seller is solely responsible for fulfillment, delivery, and after-sales support.
3.2 Checkout. You pay the full checkout total. DigiRAMP collects payment, deducts marketplace and processing fees, and remits the balance to the Seller subject to holds and return windows.
3.3 Returns. You may request a return through the platform within 7 days of delivery (unless the listing offers a longer window or is marked non-returnable). Returns follow the Refund & Returns Policy.
3.4 International Orders. International orders ship DAP / Duty Unpaid. Import duties, VAT, and customs handling fees are your responsibility and are collected upon delivery. Refusing delivery does not entitle you to a refund of the product price or original shipping.
3.5 Communication. Buyer–Seller communication happens through in-platform messaging. Do not attempt to take transactions off-platform; doing so removes buyer protections and may violate these Terms.
4.1 Payment Processing. Payments are processed by our third-party processor (e.g., Stripe). Your use of payment services is also subject to the processor’s terms.
4.2 Marketplace Fee. DigiRAMP charges a service/marketplace fee plus applicable payment-processing fees on marketplace transactions, disclosed to Sellers in the seller dashboard and/or at the point of sale. (Specific fee rate as configured by DigiRAMP and disclosed in-product.)
4.3 Payouts. Net proceeds (checkout total minus fees, refunds, and adjustments) are remitted to the Seller through the payment processor, subject to delivery confirmation, return windows, holds, and chargeback or dispute outcomes.
4.4 Taxes. Sellers are responsible for determining, collecting, and remitting any taxes they are legally required to charge, except where DigiRAMP or its processor collects and remits on their behalf. Buyers are responsible for import duties and customs charges on international orders.
DigiRAMP provides a structured process to resolve return, refund, and transaction disputes. By using DigiSHOP, Buyers and Sellers agree to this process and to DigiRAMP’s authority to issue a binding resolution as described below.
Phase 1 - Self-Service (Days 1–3). The Buyer submits a request through the platform; the Seller has 3 business days to accept, counter, or decline. Communication occurs in-platform.
Phase 2 - Escalation (Days 4–7). If the Seller does not respond in time or declines, the matter is escalated and the Seller is given a final 3-business-day window, with notice that non-response will result in a binding decision.
Phase 3 - DigiRAMP Decision (Day 8+). If still unresolved, DigiRAMP reviews the in-platform message history, transaction record, and listing terms and issues a binding decision within 5 business days. By using DigiSHOP, Buyers and Sellers grant DigiRAMP the authority to make this binding decision, including ordering a refund, partial refund, or release of payment.
Phase 4 - Resolution & Appeal. The decision is final. Either party may submit one appeal within 5 business days, reviewed at a senior level. This marketplace process governs transaction disputes; it does not limit the general governing-law and venue provisions of the Terms of Service for other claims.
DigiRAMP may remove listings, hold funds, and suspend or terminate accounts that violate these Marketplace Terms, the Terms of Service, applicable law, or payment-processor rules.
